MAPLE LEAF SPORTS & ENTERTAINMENT MASTERCARD INSIDER BENEFITS - TERMS & CONDITIONS

1. Eligibility

2. (a)Mastercard cardholders will be eligible to participate in the Mastercard Insider Benefits program (the “Program”).
3. (b) Participants of the Program (a “Participant”) are responsible for reading and understanding these Program Terms and Conditions (the “Terms”). If a Participant has any questions about the Program or these Terms, the Participant should contact FanServices@MLSE.com.

2. Benefits of Program

The following are the Program benefits:

(i) Food & Beverage

• 10% off mobile orders (both in-seat and for pickup) at BMO Field using the Toronto FC mobile app - Get 10% off your mobile food or non-alcoholic beverage order at BMO Field when using a valid Mastercard credit card through the Toronto FC mobile app. Discount to be applied on purchase price before taxes only at checkout when using the ordering function within the Toronto FC mobile app. This offer is valid from March 31, 2025, until the end of the Toronto FC 2025 season, inclusively. This discount offer cannot be combined with any other promotion, discount, or coupon. This discount offer can be used multiple times per Participant per day. This discount offer excludes alcoholic beverages.

(ii) Retail

• 15% off Real Sports Apparel (“RSA”) in store or online purchase - Get 15% off your purchase at RSA when using a valid Mastercard credit card for purchase. Discount to be applied to your purchase price before taxes. This offer is valid from March 31, 2025, to the end of the Toronto FC 2025 season. This discount offer cannot be combined with any other promotion, discount, or coupon. This discount offer may only be used multiple times per Participant per day. This discount can be applied in-store by paying with your Mastercard, or online by entering the unique discount code, which can be obtained by entering the first four digits of your Mastercard.  The discount may not be applied to certain items, including but not limited to game worn product, memorabilia and specialty collections.

(iii) Tickets

• Access to ticket holds – Get access to exclusive Toronto FC tickets reserved only for Mastercard cardholders when using a valid Mastercard credit card to purchase tickets available at https://mastercard-benefits-raps-da24f3a7626e30.webflow.io/. This offer is valid from March 31st, 2025, to the end of the Toronto FC 2025 season. Tickets offer cannot be combined with any other promotion, discount, or coupon. Tickets offer may be used multiple times per Participant per day. The offer is limited to 26 ticket holds per unique link, tickets available at varying price points and seat locations.

3. Duration, Modification and Termination of the Program

Maple Leaf Sports & Entertainment (“MLSE”) and Mastercard Canada ULC (“Mastercard”) reserve the right to suspend, modify or cancel the Program or any part thereof, at their discretion, at any time with or without notice.

4. Taxes

Participants are responsible for the payment of all taxes which may result from participation in the Program.

5. No Warranties or Representations, Express or Implied

Mastercard and MLSE make no warranties or representations, either expressed or implied, with respect to type, quality or fitness of goods or services provided through the Program.

6. Interpretation of these Terms

All interpretations of these Terms are at Mastercard’s and MLSE’s sole discretion, and Mastercard’s and MLSE’s decisions will be final.

7. Limitation of Liability

DOES NOT APPLY TO CARDHOLDERS RESIDING IN QUEBEC. IN NO EVENT WILL MASTERCARD OR MLSE, OR THEIR RESPECTIVE PARENTS, SUBSIDIARIES AND AFFILIATES, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS BE LIABLE FOR ANY DIRECT,INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OFANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISE OUT OF ORARE IN ANY WAY CONNECTED WITH THE PROGRAM, THESE TERMS, OR THEIR OPERATION OFTHE PROGRAM.

8. Choice of Law and Venue

Except for cardholders residing in Quebec, any disputes arising out of or related to the Program or these Terms will be governed by, construed and enforced in accordance with the laws of the Province of Ontario. The exclusive jurisdiction for any claim or action arising out of or relating to the Program or the Terms may be filed only in the courts located in the City of Toronto, Ontario.

‍Any disputes with cardholders residing in Quebec arising out of or related to the Program or these Terms will be governed by, construed and enforced in accordance with the laws of the Province of Quebec. The exclusive jurisdiction for any claim or action arising out of or relating to the Program or the Terms must be filed in the judicial district in which the cardholder resides.

9. Entire Agreement

These Terms , together with any other terms and conditions, rules, or regulations incorporated herein or referred to herein constitute the entire agreement between Mastercard, MLSE and the Participant relating to the subject matter here of, and supersede any prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing.

10. Miscellaneous

(a) Any attempt by any person to undermine the legitimate operation of the Program maybe a violation of criminal and civil law, and, should such an attempt be made, Mastercard and MLSE reserve the right to seek damages from any such person to the fullest extent permitted by law. Mastercard’s or MLSE’s failure to enforce any of these Terms shall not constitute a waiver of that, or any other, provision.

(b) The Program is provided to individuals only. Corporations, associations, or other groups may not participate in the Program.

‍
(c) If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms, which will otherwise remain in full force and effect.
